Terms of Service

Version 2026.10 · Effective October 13, 2026. These terms apply to ProfitLens services operated by Somar (“ProfitLens”, “we”, “us”) at profitlens.ae.

1. Agreement

By creating an account, accepting these Terms at checkout, or using ProfitLens (the “Service”), you enter into this agreement for yourself and, where applicable, the organization you represent (the “Customer”). If you act for a Customer, you confirm that you are authorized to bind it. If you are not authorized or do not agree, do not subscribe or use the Service.

These Terms work with the Privacy Policy, Cancellation and Refund Policy, the Service Schedule presented for the selected plan, and any signed addendum. A Service Schedule controls only for plan-specific price, billing interval, included modules, limits, and expressly stated service commitments. A signed addendum controls to the extent it expressly overrides these Terms.

2. The Service

ProfitLens is a multi-tenant cloud business platform that may include finance, inventory, sales, HR, maintenance, logistics, dental-lab, reporting, portals, and related modules. The modules and usage limits included in a subscription are those shown in its Service Schedule. Features marked preview, beta, roadmap, or “coming soon” are not purchased commitments unless expressly stated otherwise.

We may improve the Service and make reasonable changes that do not materially reduce the purchased core functionality during a paid term. If a change materially reduces that functionality, we will use reasonable efforts to notify the Customer and provide an appropriate remedy, which may include a workaround, migration option, or cancellation of future renewal.

Demo, trial, and Sandbox access is for evaluation, may have different limits, and does not automatically convert into a Live paid subscription. A separate Live checkout may be required.

3. Eligibility and business use

The Service is primarily intended for business and professional use. Individual users must be at least 18 and legally able to contract. The Customer is responsible for determining whether the Service is suitable for its industry and for complying with laws that apply to its records, employees, clients, taxes, healthcare or dental workflows, and regulated activities.

4. Accounts and security

The Customer is responsible for its administrators, invited users, company codes, devices, permissions, and activity performed through its accounts, except to the extent caused by a ProfitLens security failure. Use unique credentials, grant least-privilege access, remove users promptly, and notify support@profitlens.ae without undue delay if compromise is suspected.

5. Customer data and privacy

The Customer retains its rights in data submitted to its workspace (“Customer Data”). The Customer grants ProfitLens a limited, non-exclusive right to host, copy, transmit, back up, and otherwise process Customer Data only to provide, secure, support, and lawfully operate the Service.

The Customer is responsible for the accuracy and lawfulness of Customer Data and for providing required notices or obtaining required permissions from employees, clients, portal users, patients, applicants, and other individuals. Our Privacy Policy explains our controller and processor roles, subprocessors, and privacy practices.

During an active subscription, the Customer may use available exports and reports. Following cancellation or termination, access and retention depend on account status, technical constraints, and legal obligations. Customers should export required records before the end of access and may contact support for a reasonable export request. We do not promise indefinite retention.

6. Acceptable use

You agree not to:

We may investigate suspected violations and take proportionate action. Except for urgent security, legal, or fraud risks, we will normally provide notice and a reasonable opportunity to remedy a remediable breach.

7. Fees, billing, and cancellation

Paddle acts as merchant of record for ProfitLens SaaS subscriptions. Paddle may calculate and collect applicable taxes, issue receipts, and process payment and refunds. The recurring price, currency, billing interval, and renewal date are shown before checkout and recorded in the accepted Service Schedule.

Subscriptions renew automatically for the same interval until cancelled. The Customer may stop future renewal through the Paddle customer portal or by contacting support. Unless checkout, law, or a written agreement says otherwise, cancellation takes effect at the end of the current paid period. Non-payment may result in grace, read-only, or suspended access after reasonable notices where practicable.

Price or plan changes for an existing subscription are not silently imposed mid-term. Material changes are presented for Customer review and acceptance or take effect for a future renewal with appropriate notice and a right to cancel. Refunds and mandatory rights are addressed in the Cancellation and Refund Policy.

A Customer may separately connect payment providers to collect money from its own clients. Those transactions are between the Customer and its client and are governed by the Customer’s terms and provider account; ProfitLens is not the merchant for them.

8. Intellectual property

ProfitLens and its licensors own the Service, software, branding, documentation, templates, and related intellectual property. We grant the Customer a limited, non-transferable, non-exclusive right to use the subscribed Service during the applicable term. Feedback may be used without restriction, but we will not identify the Customer publicly without permission.

9. Third-party services

The Service relies on providers such as Google Cloud/Firebase, Paddle, email and routing providers, and optional payment or AI services selected or enabled by the Customer. We remain responsible for selecting and managing our subprocessors with reasonable care, but are not responsible for a Customer’s separate third-party accounts or events outside our reasonable control.

10. Suspension and termination

We may suspend only the access reasonably necessary to address non-payment, a material breach, a credible security threat, fraud, unlawful use, or a binding legal requirement. Administrative access suspension does not itself cancel recurring billing; billing cancellation is handled separately. Where practicable, we will explain the reason, scope, and steps to restore access.

Either party may terminate for an uncured material breach after reasonable written notice, unless immediate action is required by law or security risk. We may discontinue the Service with reasonable advance notice and an appropriate remedy for prepaid unused service where required. Provisions on accrued fees, data, confidentiality, ownership, liability, and disputes survive as appropriate.

11. Confidentiality and security

Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform this agreement. Confidentiality does not cover information lawfully known without restriction, independently developed, publicly available without breach, or required to be disclosed by law. We apply reasonable technical and organizational safeguards, but no online service can guarantee absolute security.

12. Disclaimers

ProfitLens is operational software, not legal, tax, accounting, medical, clinical, or other professional advice. Reports and automated outputs should be reviewed by qualified personnel. Except for commitments expressly stated in a Service Schedule, the Service is provided on an “as available” basis, and we do not warrant uninterrupted or error-free operation or that it will satisfy every business requirement.

13. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or loss of profit, revenue, goodwill, or anticipated savings. ProfitLens is not liable for loss caused by unauthorized Customer users, inaccurate Customer Data, or third-party services controlled by the Customer.

Each party’s aggregate liability arising from the Service is limited to the subscription fees paid or payable for the twelve months before the event giving rise to the claim. This cap and the exclusions do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, infringement or misuse of the other party’s intellectual property, breach of confidentiality, or liability that cannot lawfully be limited.

14. Third-party claims

The Customer will be responsible for third-party claims to the extent caused by unlawful Customer Data or use of the Service in material violation of these Terms. ProfitLens will be responsible for third-party claims that the unmodified Service infringes intellectual property rights, subject to prompt notice, control of the defence, and reasonable cooperation. These obligations do not apply to the extent a claim was caused by the other party.

15. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. Before filing a claim, the parties will attempt in good faith to resolve it through written notice and reasonable escalation. UAE courts have jurisdiction unless mandatory law requires otherwise.

16. Changes, notices, and general terms

We may update these Terms prospectively. Material changes will be communicated reasonably before they take effect and, where appropriate, require renewed acceptance. Changes do not retroactively rewrite an already paid Service Schedule. Notices may be sent to the account email or displayed in the Service. Neither party may assign this agreement without consent, except in a corporate reorganization or sale of substantially all relevant assets with continued protection of Customer rights. If one provision is unenforceable, the remainder continues.
